This privacy policy (“Policy”) explains how Vseed Capital Partners, LLC (Vseed Capital) collects, uses, and manages your personal information. For this Policy, references to “Vseed Capital,” “we,” “our,” or “us” mean, severally and collectively, Vseed Capital, The Medical Capital Group, LLC (dba Vseed Capital Management), Software Idea Partners, LLC (dba Pifani Accredited Investor Services), Pifani.com, and Whitecoat Advisers.com. Independent custodians, brokers, banks, transfer agents, escrow agents, portals, and other third parties generally maintain privacy policies not covered by this Policy except as described below. This Policy describes the types of information we may collect from you or that you may provide when you visit www.vseedcapital.com and any of our websites (severally, “website,” and collectively, “websites”). It also generally describes Vseed Capital’s practices for collecting, using, maintaining, protecting, and disclosing that information.

By establishing a relationship with Vseed Capital or accessing our websites, you consent to collecting and using certain personal information as explained in this Policy. Any dispute regarding this Policy is subject to the terms set forth herein, our Terms of Use (“Term of Use”), and the terms of any other written agreement between you and Vseed Capital, including dispute arbitrations and damage limitations. This Policy applies to information that we collect:

• on our websites, accessed directly or through third-party directed access;
• in emails, texts, and other electronic messages;
• through mobile and desktop applications you download from our websites, which provides dedicated non-browser-based interaction between you and our websites; and 
• when you interact with our advertising and applications on third-party websites.

Please carefully read this Policy to understand our practices regarding your information and how we use it. If you disagree with our collection practices, you must not use our websites. By accessing or using our websites, you agree to this Policy without exception. We may change this Policy from time to time. (See Changes to Vseed Capital Privacy Policy below.) Your continued use of our websites after we change this Policy constitutes your acceptance of those changes, without exception, so please periodically check this Policy for updates.

We are is not responsible for the privacy policies or the content of any site linked to our websites. Furthermore, some of our web pages may use framing techniques to serve content to or from our partners while preserving the look and feel of our websites. Understand that we have no control over using or protecting the information you provide to, collect from, or use on those sites. Note: If you provide personal information to a third party, you should first familiarize yourself with the third party’s privacy policy.

Children Under the Age of 18
Vseed Capital does not intend for children under 18 years of age (“minor”) to use its websites. Minors may not provide or use their personal information on our websites; we do not knowingly collect personal information from children. Notice: If you are a minor, do not access or use our websites or provide any information; do not use features or widgets on those websites. If we learn that we have collected or received personal information from a minor without parental or legal guardian consent, we will delete or destroy that information. If you believe a minor has provided or used personal information, contact us as soon as possible. (See Contact Information below.) California residents under 18 years of age may have additional rights regarding collecting and selling their personal information. Information Vseed Capital Collects About You and How Vseed Capital Collects It

Vseed Capital collects several types of information from and about our websites’ users, including information:

• by which you may be personally identified (“personal information”), such as
• name, postal address, email address, telephone number, or any other online or offline; 
• identifiers (e.g., government-issued identification, employer name and address, employer identification or social security number, age, gender, education, occupation, etc.), or any other identifier by which we may confirm your identity; 
• that we may use such information to assess your current financial situation (e.g., annual income, sources of income, approximate net worth, an approximate value of investment assets, etc.), your financial goals and objectives, your investment experience, and other factors, including your suitability for certain investments; 
• that we may further use any payment and account information or additional personal data that is about you but individually does not identify you (to comply with local, state, federal, and international laws, rules, and regulations, including product or service orders or in connection with providing products and services to you or through third parties); and
• about your computer and internet connection, the equipment you use to access our websites, and usage details.

Vseed Capital collects this information:

• directly from you when you provide it to us;
• automatically as you navigate through our websites(e.g., usage details, Internet Protocol (IP) addresses, browser type, operating system, internet service provider (ISP), pages accessed, etc.); 
• our websites and other sites that you view and associated information, which we may collect through cookies, web beacons, and other tracking technologies;
• public record sources, social media, and the like; and
• from third parties (e.g., our business partners, service providers, etc.)

Information You Provide to Vseed Capital

Information that we collect may include:

• data that you provide by completing forms on our websites (e.g., information that you provided when you registered to use our websites, subscribing to our services, creating a profile, etc.); 
• information collected when posting material, requesting further services, entering or participating in sponsored contests or promotions, reporting any website problem, or using our products and services;
• records and copies of your correspondence (including email addresses), if you contact us;
• your responses to surveys that we ask you to complete;
• details of transactions you perform through our websites (including payments and order fulfillments); and
• your search queries on our websites.

You may also provide information to be published or displayed (“posted”) on public areas of our websites, transmitted to our users, or on third-party applications (collectively, “User Contributions”). You post and share User Contributions at your own risk. Although we may limit access to certain pages, please note that no security measures are perfect; you and your personal information are never entirely secure. Additionally, we cannot control the other users’ actions or other sites. Therefore, we cannot guarantee that unauthorized persons will not view, access, or inappropriately use your User Contributions.

Information Collected Through Automatic Data Collection Technologies

As you navigate Vseed Capital websites, we may use automatic data collection technologies to collect certain information about your equipment, browsing actions, and use patterns, including:

• details of your visits (e.g., traffic data, location data, logs, other communication data, the resources that you access and use, etc.); and
• information about your computer and internet connection (e.g., IP addresses, operating systems, browser types, etc.).

We may use these technologies to collect information about your online activities over time, including activities on third-party websites and other online services (i.e., behavioral tracking). Contact us if you want to opt-out of behavioral tracking on our websites or learn how we respond to various web browser signals and other mechanisms that enable consumers to exercise behavioral tracking choices.

Information that we collect automatically includes personal data, which we may maintain or associate with data collected or received from third parties. Collected information helps us improve our websites to deliver (what we believe to be) better, more personalized services. Such automatic collection processes, when enabled, let us:

• estimate our audience sizes and usage patterns;
• store your settings and preferences (allowing us to customize our websites according to your interests or preferences); 
• accelerate your searches; and
• recognize you when you return to our websites.

The technologies we use for automatic data collection include but are not limited to Flash cookies, cookies, web beacons, tags, scripts, and various social media features and widgets.

• Cookies. A cookie (“web cookies” or “cookies”) is a small file placed on your computer’s hard drive. You may refuse to accept cookies by activating your computer’s appropriate browser setting. However, if you block cookies, you may be unable to access certain parts of our websites. • Web Beacons. Our websites’ pages and our emails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs). These files permit us to count users who have visited those pages, opened emails, and track other website-related statistics (e.g., website content popularity, verifying system integrity, verifying server integrity, etc.).
• Tags (metadata). A “tag” is a keyword or term assigned to a piece of information such as an Internet bookmark, digital image, database record, or computer file (also called “metadata”). Metadata helps describe a specific item and helps browsers quickly find the same data while browsing or searching.
• Scripts. A data collection or tracking script tracks user interaction on our websites.
• Social Media Features and Widgets. Our websites may include social media features and widgets, such as chat widgets and interactive social media mini-programs (e.g., LinkedIn, Facebook, Twitter, etc.) that might run on our websites. If used, these features may collect your IP address, which page you are visiting on a particular website, and set a cookie to enable the feature to function correctly. Third-party providers may also host social media features and widgets on our websites; this Policy governs your interactions with such features. We may also receive reports based on your use of these technologies on an individual or aggregated basis.

Vseed Capital may partner with third parties to manage its advertising on other websites. WE may use third-party partners’ technologies to gather information about your browser use and activity on our websites (and other websites) to provide you with advertising based upon your browsing activities and interests. If you wish us not to use this information to serve you interest-based ads, you can opt out of this action by directly contacting us. (See Contact Information below.) Please note that opting out of this action does not remove ads; you will continue to receive generic ads.

How Vseed Capital Uses Your Information

Vseed Capital uses information that it collects about you or that you provide, including personal information:

• to present our websites and their content to you;
• to provide you with information, products, or services that you explore or request from us;
• to expand the scope and improve the quality of services we offer now (or may offer in the future);
• to provide services to you or on your behalf in connection with investments in or through third parties;
• to fulfill any other purpose for which you provide such information;
• to provide you with notices about your account (e.g., expiration notices, renewal notices, default notices, etc.);
• to carry out our obligations and enforce our rights arising from any contracts or subscription agreements entered into between you and us (including for billing, payment, and collection purposes);
• to notify you about websites changes or changes to our products and services;
• to allow you to participate in o ruse interactive features on our websites;
• in any other way described to you when you provide the information;
• to develop additional capabilities and services;
• to comply with state, federal, and local laws, rules, regulations, and orders; and
• for any other purpose with your consent.

Suppose you subscribe to any correspondence, receive marketing emails, or submit a contact form. In that case, we may use your name and email address to send information and materials to you. In some instances, we may automatically subscribe you to receive certain materials upon creating an account or otherwise logging in. We may also use your information to contact you about products and services. Note: We will retain your information as required to comply with local, state, federal, and international laws, rules, regulations, and orders to resolve disputes and enforce agreements.

Disclosure of Your Information

Vseed Capital may disclose aggregated information about its users. Such information does not identify an individual without restrictions. We may further disclose personal information that we collect or that you provide as described in this Policy:

• to our subsidiaries and affiliates;
• to contractors, service providers, and other third-party users to support our business;
• to an investor, buyer, or successor for a merger, divestiture, restructuring, reorganization, dissolution, or other asset sale or transfer. (This applies to asset sales and transfers that are part of a going concern, part of a bankruptcy, liquidation, or similar proceeding in which personal information held by us is among the transferred assets);
• to fulfill the purpose for which you provide such information (e.g., if you give us an email address to use the “email a friend” feature of our websites, we will transmit the contents of that email and your email address to the intended recipients);
• to governmental and regulatory authorities;
• for any other purpose that we disclose or listed in our Terms of Use when you provide the information; and
• with your consent.

Vseed Capital may share your personal information with affiliates, partners, and third-party service providers if the information is required to fulfill an order, provide a service, or offer the opportunity to use offered products and services. We attempt to limit the use of your personal information to purposes identified in our limited partnership agreement, affiliate agreements, and partner and third-party service provider agreements. However, we may ask you to agree to additional terms, including other additional terms of use and other privacy terms, as a condition of accepting the provision of services. 

Note: Here, an affiliate is a company that Vseed Capital owns or controls or is under common control. Our partners and third-party service providers are firms that we engage or contract to support various business functions. Such functions include but are not limited to transaction posting, information dissemination, internet marketing, account processing, research, due diligence, reporting, information technology support, transfer agency, escrow, custodial services, due diligence, investor verification, etc. Shared information use is limited to the provisions of the contracted or engaged services. When we share personal information with our partners and third-party service providers, we require them to protect it as we protect it, including restricting dissemination except as necessary to provide their services. This Policy covers third parties and technology platform providers engaged now or later, in addition to the service and user agreements with such vendors. We may also disclose your personal information:

• to comply with any court orders, laws, or legal processes (including responding to government and regulatory requests);
• to apply our agreements and enforce our contracts (including for billing and collection purposes); and
• if we believe disclosure is necessary or appropriate to protect our rights and property, or the rights, property, and safety of our customers or any other person or entity (including exchanging information with other companies and organizations for fraud protection, credit risk reduction, and the like)

Choices About How Vseed Capital Uses and Discloses Your Information

Vseed Capital strives to provide you with choices regarding the personal information you provide to us. We may now or later have or use mechanisms to provide you with various controls over your information:

• Tracking Technologies and Advertising. From time to time, you may be able to set your browser to refuse all or some browser cookies or alert you when our platforms send cookies. To learn how (or if) you can manage your Flash cookie settings, visit the Flash player settings page on Adobe’s website (https://helpx.adobe.com). Please note that if you disable or refuse cookies, parts of our websites may be inaccessible or function properly.
• Promotional Offers. Suppose you do not wish us to use your contact information to promote our (or authorized third-party) products or services. In that case, you may be able to opt-out by checking the relevant box located on the various forms that we use to collect your data (e.g., the registration form, as applicable) or at any other time by sending us an email stating your request. (See Contact Information below.) If we send you a promotional email, you can send us a return email asking us to omit you from future email distributions.

Vseed Capital does not control any third-party collection or use of your information to serve you interest-based advertising. However, in such cases, third parties may provide ways for you to choose not to have your information collected or used for advertising purposes. You can opt out of receiving targeted ads from NAI members at the Network Advertising Initiative (“NAI”) website (https://optout.networkadvertising.org).

Accessing and Correcting Your Information

You can review and change your personal information by logging into the relevant website, visiting your account profile page, or contacting us directly. (See Contact Information below.) Suppose you delete your User Contributions from our websites. In that case, we (and our third-party service providers) may retain copies of your User Contributions, keeping them viewable in cached and archived pages copied or stored by other sites or our websites’ users. At our sole discretion, we govern the access and use of information on our websites, including User Contributions. We may review, change, or correct personal identifying information at any time, but we cannot delete your personal information because of our legal and regulatory compliance obligations. However, if you request that we no longer use your information, we will archive and maintain it for regulatory purposes. You are responsible for maintaining complete and accurate personal information. Please periodically review your personal information (e.g., several times each year) to ensure accuracy and completeness. Vseed Capital may or may not have direct relationships with the individuals whose personal information it processes in connection with the use of its products or services. Regardless, individuals seeking to access, correct, amend, or delete their personal information should direct their queries to our data controller. If you request that we remove your personal information, we will try to respond within a reasonable timeframe (subject to our legal and regulatory compliance obligations and routine operational commitments). Suppose you choose to refer Vseed Capital using any of our referral services or applications to tell a contact about us or one of our blog posts, other content, or investment opportunities. In that case, we will ask you for your referral’s name and email address. We may automatically send a one-time email inviting them to visit the appropriate website, blog, or content. Among other things, we may store such information so our third-party service providers or send one-time emails and track our referral program’s success. Your contact may contact us to request that we remove this information from our database.

You may choose to stop receiving correspondence from us by following the unsubscribe instructions included in such communication, by accessing the email preferences in your account settings page, or by contacting us directly, asking to unsubscribe. Please note that even if you opt-out or unsubscribe from some or all our correspondence, we still may send you administrative messages that we believe are necessary or advisable for your knowledge and records.

Data Security

Vseed Capital (or one or more third parties) may implement measures designed to help secure or protect your personal information from accidental loss and unauthorized access, use, alteration, and disclosure. However, no security system is flawless; we will attempt to safeguard your confidential information using industry best practices (or vendors who use such techniques).

Information security depends on you too. We may give you (or you may choose) one or more passwords to access parts of our websites. You are responsible for safeguarding such passwords, keeping them confidential at all times. We require that you not share your passwords with anyone, avoid using shared or public computers, be careful about providing personal information in public, and be mindful of data transmitted on other websites’ public areas (e.g., message boards, forums, chat rooms, etc.). Generally, other website users may view the information you share in such public areas. We may also offer you online access to your account (or parts of your account) through third-party service providers (e.g., investment portals, advisors, custodians, transfer agents, escrow agents, etc.). In such cases, you are responsible for safeguarding associated credentials provided to you by such third parties.

Unfortunately, the transmission of information via the internet is not completely secure. We do our best to protect your data, but we cannot guarantee its security when you transmit it through one of our websites. Use our websites and share personal information at your own risk; we are not responsible for any privacy settings or security measure circumventions on our websites.

Changes to Vseed Capital Privacy Policy

If Vseed Capital changes its privacy policy, we will post the revised policy on our websites. If we make material changes to how we treat users’ personal information, we may notify you (e.g., through a notice on each website home page). This Policy’s revision date is in the footer of this document. You are solely responsible for ensuring we have your current, active, and deliverable email address and periodically visiting our websites (and reviewing this Policy) to check for changes.

Acceptance

Your use of our websites means that you accept this Policy in its entirety and further agree that posting a revised privacy policy electronically on our websites satisfies any obligation we may have (legal or otherwise) to deliver the updated Policy to you.
